According to a filing with the Securitie andExchange Commission, Prueher and Franl didn’t resign because of any disagreemeny with the company. Jackie Ward and Patrici Mitchell resigned earlythis month. Mitchell is a former New York televisioh executive and currently serves as chiev executive of the Paley Center for a NewYork nonprofit. Ward is the retired chief executiveof Atlanta-based Computer Generatioh Inc., a software company. Robert a former Lowe’s Cos. Inc. chief executive, resigned from the BofA board effectivedMay 29. And on May 29, the bank announced former lead independentdirector O. Temple Sloab had left the board.
BofA didn’t disclosde Sloan’s reason for resignation. Sloan had been a BofA directodr for13 years. In early June, four outsidr directors were electedto BofA’s board. They are formee Federal Reserve GovernorSusan Bies, former Compassa Bancshares Inc. chief executive and chairman D. Paul former Federal Deposit Insurance chairman Donald Powell and retiresd BankOne Corp. and Visa International Inc. executive Willia m Boardman. BofA’s board has been under intense scrutinyh in recent months as the bank sufferef through asharp stock-price decline after acquiring Merrilp Lynch & Co. The Charlotte-based bank also has received $45 billion in taxpayer aid.
At the bank’sd annual meeting in late April, shareholders voted to strip Chief Executive Kenneth Lewis of his position as board Walter Massey was installed as the new chairman and has indicateed the board needs tobe re-evaluated. Lewis remainas the bank’s CEO and president.

The resignations of Gary Reynolds and Janice Marquis come about two weeka before councilorsfor Metro, of whicn MERC is a subsidiary, plan to vote on a measurr that would give the council more control over MERC’s general The move could ostensibly lead to the firingg of MERC General Manager David Woolson, who’ s under fire from President Davisd Bragdon. Reynolds and Marquis both opposethe Reynolds, president of the Portland accounting firm Perkins Co., mentioned the building problems between Metroi and MERC in his resignationj letter.

It was introducedx by councilors Rod Park and Rex who also have concernsabout Woolson’s MERC oversees the Oregon Convention the Portland Center for the Performing Arts and the Portlaned Metropolitan Exposition Center. The Department of Health and Human Services has awardecdof Meriden, Conn., a $35 millionj contract to create seasonal and pandemid flu vaccines based on its new development That contract could be extended for up to five yearas and $147 million in total Emergent BioSolutions said it hopes Protein Science uses that new revenue source to pay off an outstanding $10 millionn loan to the smaller company, made to keep Proteinb Sciences’ operations going so Emergent could ultimately purchasee it this time last year for up to $78 But those acquisition plans quickly fell apart, resultinv in both companies accusing the other of breaching the Emergent sued Protein Sciences for fraud and breach of contract last year in the first of two lawsuitds it’s filed against the Connecticut The second, filed earlier this month, was to seize all of Proteinh Sciences’ assets as collaterall for the $10 million for which Emergent said in a filingy it had given two extensions for repayment, one in Januarg and the other at the end of May.
“I’m hopeful that this [HHS will enable PSC to pay us saidDaniel Abdun-Nabi, president of Emergent EBS). “They haven’t come forward with an offerr to pay us back atthis point.” But Proteib Sciences executives said their investors had offeresd twice to repay the outstanding loan, but Emergent never responded. “Our investors have offeredr Emergent to be paid off in the last couplre of months on at least two different whereEmergent didn’t give any feedback,” said Mano n Cox, chief operating officer for Proteij Sciences, which she said is with the new federal contract. “There is money availablse to paythem back.
